Please read these Terms of Service (“Terms”) carefully before using HippaTherapy’s electronic health record (EHR) system, practice management software, worksheet builder, and related services (collectively, “Services”). HippaTherapy is a product of Open7 LLC (“Company,” “we,” “us,” or “our”). By using our Services, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using our Services, you agree to be bound by these Terms, our Privacy Policy, and any additional terms and conditions that may apply to specific components of the Services. If you disagree with any part of the terms, you may not access the Services.

2. Services Description

HippaTherapy, operated by Open7 LLC, provides comprehensive healthcare software solutions including:

  • Electronic Health Record (EHR) system
  • Practice Management software
  • Billing and claims management
  • Patient portal and engagement tools
  • Therapy worksheet builder and customization
  • Scheduling and appointment management
  • Analytics and reporting tools
  • Integration with third-party healthcare services
  • Other software and digital solutions for business and customers

3. User Responsibilities

3.1 Account Creation and Security

  • A valid account is required to access the EHR and Practice Management systems
  • You must provide accurate and complete registration information
  • You are responsible for maintaining the confidentiality of your account credentials
  • You must notify us immediately of any unauthorized access
  • Multi-factor authentication is required for accessing protected health information

3.2 Acceptable Use

You agree not to:

  • Use the Services for any illegal purpose
  • Violate any intellectual property rights
  • Attempt to gain unauthorized access to our systems
  • Share access credentials with unauthorized users
  • Circumvent any security measures
  • Use the Services in any way that could damage or impair system functionality
  • Export or transfer data in violation of applicable healthcare regulations
  • Attempt to reverse engineer any portion of the Services

4. Intellectual Property

4.1 Our Rights

  • All Services, including the EHR system, Practice Management software, and related tools and software soltions are owned by Open7 LLC
  • Our name, logo, designs, and all associated trademarks are property of Open7 LLC
  • The structure, organization, and code of our Services are protected by intellectual property rights
  • All software, including updates and modifications, remains our property

4.2 Your Rights

  • You retain ownership of all patient data and practice information you input into the system
  • You grant us a limited license to store, process, and transmit your content as necessary to provide the Services
  • You maintain responsibility for obtaining appropriate patient consents for data usage

5. Payment Terms

5.1 Fees

  • Service fees are based on subscription tiers and selected features
  • Additional charges may apply for premium features or increased usage
  • All payments are processed through authorized payment processors
  • Prices are subject to change with notice
  • Custom enterprise pricing is available for large practices

5.2 Subscriptions

  • Subscriptions are billed on a monthly or annual basis
  • Enterprise contracts may have custom billing terms
  • Automatic renewal applies unless cancelled
  • Cancellation must be submitted 30 days prior to renewal
  • No refunds for partial billing periods

6. Limitation of Liability

6.1 Disclaimer

THE SERVICES ARE PROVIDED “AS IS” WITHOUT ANY WARRANTY. WHILE WE STRIVE FOR 99.9% UPTIME, WE DO NOT GUARANTEE UNINTERRUPTED SERVICE. WE ARE NOT RESPONSIBLE FOR ISSUES ARISING FROM INTERNET CONNECTIVITY OR THIRD-PARTY INTEGRATIONS.

6.2 Liability Limits

OUR LIABILITY SHALL BE LIMITED TO THE AMOUNT PAID FOR SERVICES IN THE PREVIOUS 12 MONTHS. WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

7. Professional Responsibility

  • Users are responsible for maintaining appropriate professional licenses
  • The Services do not replace professional medical judgment
  • Users must ensure compliance with all applicable healthcare regulations
  • We provide tools for HIPAA compliance but users must ensure proper usage
  • Users are responsible for data backup and disaster recovery planning

8. Data Handling and Security

  • We implement industry-standard security measures
  • Users must follow security best practices
  • Regular security audits are conducted
  • Data encryption is employed at rest and in transit
  • Business Associate Agreements are available for covered entities

9. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or system notifications with at least 30 days notice.

10. Governing Law

These Terms shall be governed by the laws of the jurisdiction where Open7 LLC is registered, without regard to its conflict of law provisions.
